Drinker Biddle Represents Mendota Community Hospital in Affiliation With OSF Healthcare System
Drinker Biddle & Reath health care partner Doug Swill and associate Sara Shanti represented Mendota Community Hospital (MCH), a 25-bed critical-access hospital, in an affiliation with OSF Healthcare System (OSF) that closed on April 1, 2015. Mendota was renamed OSF Saint Paul Medical Center.
Throughout the year-long transition process, Drinker Biddle assisted Mendota with numerous legal concerns such as responding to Federal Trade Commission review and obtaining consent from the Secretary of the U.S. Housing and Urban Development (HUD) for OSF to become the sole member of MCH and approval of the MCH HUD loan modification. Canonical Approval was also obtained from the Vatican since OSF is owned and operated by The Sisters of the Third Order of St. Francis, Peoria, Il.
Drinker Biddle’s Health Care Industry Team represents hospital and health systems with strategic affiliation transactions including pre-transaction counseling, due diligence, regulatory reviews, negotiations and post-transaction integration. The team is advising on affiliations in Illinois, New Jersey, California and Arizona and other markets.
