Drinker Biddle Advises Dover Downs on Combination with Twin River
A Drinker Biddle team led by Joe Seiler and Marc Leaf is advising Dover Downs in its announced merger with Twin River. As a result of the merger, Dover Downs, which operates a hotel, casino and harness horse racing track in Dover, Delaware, will become a subsidiary of Twin River.
Dover Downs’ President and CEO Denis McGlynn said he expects to see many positive benefits for the state of Delaware, the Delaware Lottery and Dover Downs employees and stockholders. In addition, the market reacted favorably to the announcement.
The highly publicized deal will transform Twin River into a publicly traded company with gaming and entertainment holdings throughout the United States. The merger will also provide a physical presence for Twin River in the Mid-Atlantic region.
The team also includes Lizzie Babson, Steven Schwartz and Ariel Greenstein on corporate and securities law matters, Mona Ghude and Karen Gelula for employee benefits issues, Todd Schiltz for Delaware litigation issues, Tom Gray and Steve Hamilton for tax issues, and Robin Sampson for antitrust issues.
