Overview
Steve Conley is a corporate lawyer who guides clients through mergers and acquisitions and capital market transactions, counsels emerging companies and advises on corporate governance.
Mergers & Acquisitions
Steve represents buyers and sellers, strategic and private equity, in mergers, stock and asset-based transactions. He also represents owners of privately held companies in connection with the sale of their business.
Capital Markets Transactions
Steve advises issuers, underwriters, placement agents, venture capital firms and investors in public and private offerings and other capital-raising transactions. He has:
- Represented underwriters in initial and follow-on public offerings of securities for issuers across industries
- Represented placement agents in private investments in public equity (PIPEs) and registered direct offerings (RDOs)
- Represented venture capital firms, strategic investors and issuers in emerging company investments and venture capital financings
- Represented issuers in public offerings and private placements of securities
Emerging Companies
Steve counsels emerging companies and startups on general corporate matters, including contract preparation and negotiation, corporate governance, financing issues, and ongoing strategic and transactional matters.
Securities Regulation & Corporate Governance
Steve provides general corporate representation to public companies, which has given him significant experience in SEC periodic reporting, securities exchange rules and regulation, and corporate governance matters. Steve also advises private companies on corporate governance and disclosure matters.
Past Experience
Before joining Faegre Drinker, Steve worked as a strategic sourcing consultant at Wells Fargo Bank. During law school, he gained experience in the General Counsel’s office at SICK, Inc. and worked as a certified student attorney at the University of Minnesota Law School’s Business Law Clinic. He also gained experience through a legal externship, working with outside counsel for emerging medical device companies.Related Legal Services
