Renée M. Dudek

Commercial Litigation

A former federal law clerk for Judge L. Felipe Restrepo of the Third Circuit Court of Appeals and Judge Eduardo C. Robreno of the U.S. District Court for the Eastern District of Pennsylvania, Renée provides strategic and appeals-oriented advice throughout all stages of disputes, efficiently using discovery, pre-trial motions, and dispositive motions to maximize clients’ legal positions. She regularly assists with post-trial motions and works with trial teams on issue preservation for appeals.

Renée also leads litigation regarding breach of contract and business torts, including quasi-contractual claims; allegations of fraudulent inducement and misrepresentation; fiduciary issues; and partnership disputes. In addition, she defends businesses against class and collective actions concerning privacy and consumer protection.

She frequently represents clients in M&A-related litigation. Renée helps clients favorably resolve disputes stemming from mergers, acquisitions and other corporate transactions with regard to stock and asset purchase agreements; buyouts and buyups; breaches of representations and warranties; indemnification; transfers of liabilities; and other issues.

Renée is a member of the Delaware bar and has deep familiarity with Delaware law and Delaware courts, including the Court of Chancery, which is especially useful to clients because of Delaware’s centrality to business law and litigation.

Representative Appellate Experience

• Successfully defending on appeal the complete dismissal of claims against one of the world’s largest financial institutions
• Co-authoring an appellate briefing that won an appeal for one of the world’s largest telecommunications companies
• Co-authoring amicus briefs to the United States Supreme Court on behalf of industry organizations
• Co-authoring an amicus brief in a high-profile Third Circuit appeal

Representative Federal & State Litigation Experience

• Won federal trial on behalf of a client who brought breach-of-contract and bad-faith claims under Delaware law
• Won critical motions for a client regarding high-stakes claims under Delaware law for fraudulent inducement and breach of contract
• Successfully argued significant pretrial motions in federal court featuring issues of first impression, which secured a client’s trial position
• Achieved favorable resolution for a client in post-M&A litigation after deposing the opposing party’s corporate representative
• Represented a client in obtaining a full preliminary injunction against a former employee from the Delaware Court of Chancery to protect its trade secrets
• Argued a temporary restraining order in a federal trade secrets case, which secured a favorable result

Pro Bono Service

Renée maintains an active pro bono practice and has been on the firm’s pro bono honor roll every year of her practice. Her pro bono efforts particularly focus on federal civil rights litigation, and her experience includes first-chairing a federal pro bono jury trial featuring e-discovery experts and co-authoring an amicus brief in a high-profile federal appeal supporting the result that ultimately prevailed.

Personal Interests

When not practicing law, Renée enjoys spending time with her family, hiking with her three dogs, training in martial arts and reading fiction.
