Overview

Cloris Mao counsels multinational companies on corporate, compliance and commercial matters and M&A deals, particularly in and out of China. Cloris helps numerous clients through mergers and acquisitions, joint venture transactions and greenfield investment in China. She also has advised on a few venture capital, private equity and China outbound investment projects.

International M&A Transactions

Cloris represents buyers, sellers and institutional investors in numerous international mergers, acquisitions and divestitures. She leads legal due diligence, negotiation service, design of deal structure, draft of transaction documents and provision of post-closing legal advice.

Direct Investment in China

Cloris advises clients on structuring, documenting, negotiating and operating both U.S.- and non-U.S.-based international joint ventures, wholly foreign-owned enterprises and representative offices. She assists with negotiations, China merger-control filings and governmental approvals, and she prepares ancillary manufacturing, licensing, distribution and related agreements.

Chinese Outbound Transactions

Cloris represents Chinese companies in their overseas acquisitions and other investment projects in pharmaceutical, media, emerging technologies and other industries.

Foreign Corrupt Practices Act Investigations

Cloris conducts complex Foreign Corrupt Practices Act (FCPA) investigations for U.S. multinational companies in a variety of industries including manufacturing, health care and technology. She provides on-the-ground support for U.S. fraud investigations, including depositions and other evidence-gathering in China.

Corporate Counseling

Cloris provides day-to-day advice to clients on management, sales, procurement, asset restructuring, tax and customs matters. She also advises on foreign exchange compliance, incoming and outgoing payments matters.

Cloris works with clients in telecommunications, software, chemical, food and agribusiness, manufacturing, medical devices, pharmaceuticals, consumer products, real estate, media, automotive and other industries.
