Overview
Cassidy Seamon represents private equity funds and their portfolio companies in a range of transactions including mergers, acquisitions and growth equity. She also assists with clients’ general corporate work.
Corporate & Private Equity
Cassidy has experience with acquisitions, mergers, sales and growth investments. For clients’ transactions, she advises on various aspects including diligence and disclosure-related concerns. Cassidy has experience leading diligence efforts and is experienced in coordinating with third-party diligence providers and representation-and-warranty (R&W) insurers.
She regularly assists clients with general corporate work, including corporate restructuring and drafting employment agreements, equity award agreements, nondisclosure agreements and documents for forming new entities. Cassidy also has experience responding to clients’ questions.
Representative Experience
- Represented a private equity fund in its sale of a portfolio company involving payoff of a related debt facility including working closely with the internal company team to produce disclosure schedules, and counseling the team through the diligence process
- Represented a private equity-backed company in its acquisition of a web-based vendor management system, involving equity and debt financing
- Represented a private equity fund and its portfolio company in its acquisition and additional investment in a global analytics and technology provider, involving equity and debt financing
- Represented a private equity fund in a significant growth investment in a leading ERP software provider to municipalities, involving equity and debt financing
- Represented a private equity fund in its cross-border acquisition involving equity and debt financing, including communicating and coordinating with foreign counsel and executing various foreign transaction requirements, managing the private equity fund’s co-investment process, and coordinating the closing process for both the acquisition and the co-investment
Prior Experience
Before joining Faegre Drinker in Chicago, Cassidy was a private equity associate at a Boston law firm. During law school, she served as the executive comments editor of the Boston College Law Review.
Personal Interests
In her free time, Cassidy enjoys long-distance running, travel, sports and trying new foods.
