Jairo R. Villalobos

Investment Management

Jairo advises clients on a variety of investment management and securities law matters, including fund formation, reorganization, and ongoing operations of investment companies; preparation of various securities filings for open- and closed-end funds; legal and regulatory compliance; fund governance; and other matters such as closed-end fund tender offers, reviewing shareholder reports, preparing proxy statements and drafting exemptive applications.

Jairo also drafts and reviews fund documentation and agreements for hedge fund managers, investment advisers and private equity investors, including private offering documents, such as private placement memorandums and subscription agreements, and nondisclosure agreements.

Prior Experience

Prior to joining the firm, Jairo served as a summer associate at Faegre Drinker and as a legal intern at the Equal Housing and Opportunity Council in St. Louis.

Personal Interests

Outside the office, Jairo enjoys spending time with family, basketball, watching movies and traveling.
