A Faegre Drinker team led by corporate partners Ryan Miske, Ken Ludlum and Vanessa Tabler provided legal counsel to SPS Commerce in its acquisition of Carbon6 Technologies, a provider of software tools to Amazon sellers. SPS Commerce acquired Carbon6 for a total purchase price of approximately $210 million, of which approximately 40% was SPS Commerce stock.
The acquisition builds on the company’s revenue recovery portfolio with increased support for Amazon sellers. Carbon6 provides ChargeGuard, a solution that helps first-party sellers manage invoice deductions by automating the dispute process, and Seller Investigators, a solution that helps third-party sellers recover lost revenue occurring from fulfillment errors.
The deal team also included corporate partners Eli Isaacs, Yana Johnson, Chad Lange, Matthew Levy, Joanne Lewers, Christine Long, Lisa Pugh and Jonathan Zimmerman, counsel Robin Sampson, and associates Bob Onghetich, Charlotte Damico, Virginia Speck and Kareem Tawfic; labor and employment partner Dan Prokott, intellectual property partner Gary Weinstein and associate Joseph Decker; benefits and executive compensation partners Page Fleeger and Mark Rosenfeld; and real estate senior counsel Paul Moe.
