Janelle represents both public and private companies, ranging in size from Fortune 100 companies to small cap companies, across a variety of industries, including insurance, manufacturing, real estate, retail and technology.

Public Companies Advisor

Janelle counsels public companies on their ongoing disclosure and compliance issues, including periodic reporting (Forms 10-K, 10-Q, 8-K and 11-K), proxy statement and annual meeting matters, stock exchange listing requirements and Section 16 matters. She advises boards of directors of public companies and board committees and management teams on corporate governance requirements and responsibilities and executive compensation matters.

Transactional Advisor

Janelle advises public and private companies in public debt and equity offerings, Rule 144A offerings, private placements of debt and equity securities, issuer tender offers and other securities transactions, as well as other complex transactions such as mergers, acquisitions and dispositions.

Personal Interests

Janelle is an avid sports fan and enjoys cheering on the Indianapolis Colts, Philadelphia Phillies, Indiana Pacers and her alma maters, Notre Dame and Ball State University, with her husband Clint and her son Dillon.
