Generac Holdings Inc., the leading global manufacturer of standby home generators, completed the acquisition of ecobee, a Canadian smart thermostat and other smart home technology company backed by Amazon Alexa Fund and Energy Impact Partners, among others. Faegre Drinker served as lead deal counsel to Generac in the transaction.
The transaction is a critical part of Generac’s transformational strategy to evolve into an energy technology solutions company, and helps build a suite of products that can transform the home energy ecosystem for resilience and sustainability.
Faegre Drinker assisted Generac with all aspects of the transaction, including with the selection of local counsel to assist on Canadian aspects of the transaction, from negotiating and executing on the complicated cross-border acquisition, to navigating capital markets and securities considerations related to the use of public company stock as acquisition consideration, to navigating cybersecurity and privacy considerations and other diligence issues.
