Faegre Drinker Advises Jefferson Health in Finalization of Merger with Einstein Healthcare Network

Faegre Drinker advised Jefferson Health in its merger with Einstein Healthcare Network, which has been finalized, bringing together two major academic medical centers to better serve the Philadelphia region.

The expansion of Jefferson Health, the clinical pillar of Thomas Jefferson University, creates an integrated 18-hospital health system focused on providing greater access to high-quality patient care and delivering outstanding health sciences education.

With the addition of Einstein, Jefferson Health will also host the largest number of residents and fellows in the Greater Philadelphia region and will bring together MossRehab and Magee Rehab, combining their respective strengths with nationally recognized brain-trauma and spinal-cord injury programs.

The firm’s cross-disciplinary work for Jefferson involved professionals across its health and life sciences industry team and securing regulatory approval from both Pennsylvania and federal authorities, including helping Jefferson Health defeat an antitrust challenge by the Federal Trade Commission and the Pennsylvania Attorney General in federal court, in a decision ruling in favor of the merger in December 2020.

The Faegre Drinker team, led by partner Gerry McCartin, has advised Thomas Jefferson University since 2014 in several strategic transactions and affiliations, including with Abington Health, Aria Health, Kennedy Health System, Magee Rehabilitation and Philadelphia University.

The firm’s advisory team includes:

Health Care Transactions & Regulatory Matters: Led by Gerry McCartin (Partner – Washington, D.C.) and includes Kelly Taylor Hearne (Partner – Washington, D.C.) and Amy Johnson (Counsel – Washington, D.C.).

Antitrust: Led by Ken Vorrasi (Partner – Washington, D.C.) and includes Paul Saint-Antoine (Partner – Philadelphia), Dan Delaney (Partner – Chicago), and Lee Roach (Partner – Washington, D.C.).
