The Duty of Oversight in the Face of COVID Mandates

Corporate partner Doug Raymond and labor and employment partner David Woolf coauthored an article for Directors & Boards titled “The Duty of Oversight in the Face of COVID Mandates,” that addresses the political and workplace issue of COVID-19 vaccination mandates.

The article discusses how the recently announced federal mandates to vaccinate the employees of many corporations raise new and challenging questions for the directors of companies affected, who now have to consider whether their fiduciary duty of oversight interplays with these federal mandates and, if so, how.

The authors highlight that recent cases have established a heightened standard for board oversight of a company’s legal and regulatory compliance programs, and that it is important for boards to document that they carefully consider how they respond to COVID-19.
