‘The Transaction Abstract’ Podcast Turns to Ryan Miske for Insight on Transaction Structures and Tax Implications

On Redpath and Company’s “The Transaction Abstract” podcast, corporate partner and private equity practice team leader Ryan Miske shared insights on the legal side of mergers and acquisitions.

Miske explained three types of transaction structures available to buyers and sellers, including asset purchase, equity purchase and merger. “Get your legal and tax advisors involved early on,” he recommended, “so you can weigh those options. If you get too far down the path, it can become more time-consuming and, frankly, more expensive if you haven’t thought about the structure and the tax implications.” 

Miske also discussed ways to improve the buyer’s or seller’s tax position before the purchase agreement is finalized. He emphasized the importance of thinking about tax from the beginning to avoid drafting multiple purchase agreements, noting, “It’s not good for anyone, and it’s more expensive.”
