Overview

Marylyn Harrell counsels investment companies, boards of directors, and investment advisers on legal, regulatory, operational, and fund governance obligations under the federal securities laws and regulations.

Investment Funds & Management

Marylyn assists mutual fund sponsors in launching exchange-traded fund business lines, including advice on fund structure, disclosure and listing requirements, and development of compliance programs for exchange-traded funds. 

She drafts underwriting agreements, dealer manager agreements, and legal opinions in connection with closed-end fund IPOs, rights offerings and preferred-shares offerings. Marylyn has led teams of associates on several closed-end fund mergers, including drafting N-14 and survivor accounting analyses. She assesses and advises on the legal implications of legislative and regulatory developments for client business activities.

Marylyn also decreases the likelihood of SEC enforcements by preparing client registration statements, shareholder reports, comment response letters, proxy statements, Form 8-Ks and other regulatory filings.

Prior Experience

Previous to Faegre Drinker, Marylyn counseled investment and financial service clients at two global full-service firms.

Personal Interests

In her free time, Marylyn enjoys golf, and her favorite course is Torrey Pines. She also loves yoga, active adventures and gourmet cooking. Marylyn is a member of Alpha Kappa Alpha Sorority, Incorporated.

Marylyn has an active pro bono practice, which includes consulting, strategic planning and preparation of documents including memoranda of understanding (MOUs), sponsorship agreements, and consulting contracts to introduce a client's Technology and Racial Justice Initiative into various prosecutorial offices nationwide.
