Andrew G. Humphrey

Partner and Chair Emeritus

Overview

Andrew Humphrey is a partner and chair emeritus of Faegre Drinker and a corporate lawyer. From 2010-17, Andrew served as chair and managing partner of Faegre Baker Daniels, leading the firm's material growth and expansion. Andrew currently continues to assist with the strategic growth of the firm.

Andrew advises clients on general corporate counseling, mergers and acquisitions, venture capital financing, and securities regulation.

Corporate Counseling

Andrew has provided general corporate counseling to public and private companies. He coordinates legal advice on the many issues that affect publicly held and venture-backed companies, including corporate organization and governance, ongoing business review and documentation, obligations of directors and officers, relations with shareholders, capitalization matters and securities issuances.

Mergers and Acquisitions

Andrew has represented buyers, sellers and investors in public and private transactions. Several of these transactions have included the issuance of securities and the consequent registration of these securities under federal and state law.

Venture/Strategic Capital

In addition to representing venture capital firms in venture capital financings, Andrew provides "company-side" representation and advises on strategic investments by corporations.

Securities Regulations

Andrew has worked with public and private companies and underwriters on offerings of securities. Andrew has played a leading role in numerous initial or secondary public offerings, as well as representing corporations in private placements.
