Corporate Restructuring

Drew collaborates with clients on bankruptcy and financial restructuring matters, including representation of debtors, creditors, purchasers, and other interested parties in insolvency proceedings, Chapter 11 and bankruptcies, out-of-court workouts, and related transactions.

Corporate Restructuring Representative Experience

  • Representation of ConvergeOne Holdings, Inc., and its related subsidiaries in their Chapter 11 cases.
  • Representation of an ad hoc group of secured lenders in the Chapter 11 cases of Internap Holdings LLC and its related subsidiaries.
  • Representation of the unsecured creditors committee in the Chapter 11 cases of MLCJR LLC and its affiliated debtors.
  • Representation of PWM Property Management LLC and its related subsidiaries in their Chapter 11 cases.
  • Representation of the coordinated committee of facility agents in the Chapter 11 cases of Seadrill Limited and its related subsidiaries.
  • Representation of the lender group in connection with a restructuring and recapitalization of Salt Creek Aggregator Holdco, LLC (and its guarantors including Salt Creek Midstream, LLC).
  • Representation of the indenture trustees for six series of unsecured notes in the Chapter 11 cases of Windstream Holdings, Inc., and its affiliated debtors.

Lending & Finance

Drew also has extensive experience in structuring and negotiating lending and structured finance transactions, including the negotiation and execution of credit agreements, indentures, SEC filings, ancillary deal documentations and related amendments.

Lending & Finance Representative Experience

  • Representation of the secured lenders under Borr Drilling Limited’s $450 million bank facility and $100 million bank facility in connection with the amendment of facility agreements.
  • Representation of Tufin Software Technologies Ltd. in its $124 million IPO and listing on the NYSE.
  • Representation of Jack in the Box Inc. in connection with structuring and establishing the company’s $1.3 billion whole-business securitization program.
  • Representation of Beal Bank in its $306 million senior secured credit agreement with Nordic American Tankers Limited.

Prior Experience

Before joining Faegre Drinker, Drew was in the New York and Chicago offices of one of the largest law firms headquartered in New York, where he was a restructuring and insolvency associate. Drew served Blackstone Credit & Insurance in a 10-month secondment in its New York office, where he assisted Blackstone’s investment team in structuring, documenting, negotiating, and facilitating new direct-lending investments and related investment management for more than 20 transactions. He also assisted Blackstone in various amendments and workouts to performing credit investments.

Personal Interests

In his free time, Drew enjoys attending sporting events and concerts and travelling with his wife, Colleen. Despite living in Indianapolis, he is an avid fan of University of Virginia athletics and New York sports teams, including the Jets, Rangers, Yankees and Knicks.
