Overview

Dawn Holicky Pruitt focuses on advising companies in their capital raising and liability management activities. Dawn regularly assists clients in both public and private offerings of debt securities and has represented clients in securities offerings aggregating more than $100 billion since the beginning of 2020.

Dawn has advised on securities offerings and related transactions involving:

  • Fixed and floating rate notes
  • Foreign-denominated notes
  • Depositary shares, representing interests in preferred stock
  • Private placements, including Rule 144A and Reg S offerings
  • Commercial paper programs
  • Sustainability bonds
  • Structured products linked to a variety of market measures, including stock indices and exchange traded funds
  • Bank notes
  • Brokered certificates of deposit
  • Debt tender offers
  • Private and SEC-registered exchange offers

Personal Interests

Dawn is an Irish dancer and enjoys sharing her love of Irish music and dance with her daughter. She is a college football fan and enjoys travelling with her family.
