Overview

David Rose assists clients in establishing their health care operations, consulting on contractual arrangements and maintaining compliance within the heavily regulated health care marketplace, leveraging his in-house experience to address their goals with an insider’s point of view. From the largest group purchasing organizations in the United States to health care start-ups and small physician practices, David has advised health care entities of all sizes. With this extensive experience, David supports clients with all their legal needs, from formation to physician licensing and credentialing. His transactional background helps hospitals, health system clients, and physician practice groups with their contracting needs, ranging from SaaS and vendor licensing to purchasing and supply chain arrangements. David draws on his background as counsel responsible for negotiating custom client agreements for one of the largest group purchasing organizations in the United States in his current role as vice president of Innovative Health Strategies LLC (IHS), Faegre Drinker’s procurement and outsourcing consulting firm.

Health Care Experience

David has significant experience serving as in-house counsel for health care providers and group purchasing organizations in the industry. He draws on previous experience representing one of the largest group purchasing organizations in the United States and serving as general counsel, compliance officer and privacy officer to one of the largest physician-owned anatomic and clinical pathology laboratories in the United States. This knowledge of the ancillary health care services sector gives David strong insight into the legal needs of health care providers, ranging from corporate practice of medicine to federal and state licensing and credentialing. David also has extensive experience counseling service providers on managed care-related matters, including federal, state and third-party billing matters for both ancillary/laboratory services and physician practice groups.

Board and Corporate Governance Experience

David has served on a wide variety of domestic health care and not-for-profit corporations on corporate governance and board-related matters. He has extensive experience assisting for-profit and not-for-profit organizations with their corporate formation and organization, and provides board advisory and corporate governance structure throughout an organization’s business and life cycle.

Representative Experience

  • Assisted a multistate health system with the integration of a clinical laboratory services provider.
  • Represented practitioners in the sale of their multifacility occupational therapy practice in Texas.
  • Advised a national pathology practice on regulatory compliance issues under federal and state fraud and abuse laws, federal and state health care programs, HIPAA, and compliance matters.
  • Provided legal counsel to a national radiology practice on matters relating the corporate practice of medicine, regulatory compliance and transactional matters.
  • Assisted a health insurance provider in regulatory, corporate, contract, litigation and real estate due diligence related to the potential acquisition of a value-based health care company.
  • Advised pharmacy providers in the formation and negotiation of group purchasing operations, including negotiating contracts with GPO suppliers and participants.
  • Assisted a Native American tribe’s health care operations with supplier and vendor contract negotiations.
  • Advised a pharmacy benefit manager business on regulatory considerations in connection with certain strategic business operations.
  • Provided regulatory, compliance and health care operations due diligence related to an insurance company’s acquisition of a value-based health care company.
  • Advised a health care technology vendor with HIPAA security risk assessments and data security migration projects.
  • Represented a radiation oncology practice through provider and hospital engagement negotiations and contracting.
  • Provided regulatory guidance for a full-risk Medicare health care provider and its clinics.
  • Counseled a health care technology vendor in connection with a state data-security incident and investigation.
  • Advised a Texas-based ophthalmology practice on corporate restructuring and expansion of operations and services.
  • Developed a compliance program, including policies, procedures and training programs, for a national anatomic pathology health care practice.
  • Represented a national GPO in connection with the development of its member participation agreements, including counseling on related commercial and regulatory matters for group purchasing operations.
