Steve represents buyers and sellers in the acquisition and sale of businesses. He has extensive experience representing public company and private equity acquirers and owners of privately held companies in connection with the sale of their businesses. Steve also advises several private equity firms on their portfolio company investments. These deals have involved acquisitions and sales of public companies, private equity and venture-backed portfolio companies, family-owned enterprises and carveouts from large multinationals.

Emerging Companies & Venture Capital

Steve represents venture capital firms, strategic investors and issuers in emerging company investments and venture capital financings. Steve also counsels emerging companies and startups on general corporate matters, including corporate governance and ongoing strategic and transactional matters.

Securities Regulation & Corporate Governance

Steve also advises public companies regarding SEC reporting requirements, proxy regulation, stock exchange listing standards, trading and disclosure issues, investor relations and corporate governance matters.
