Owyn Ferguson provides clients with individualized strategies for leveraging their technology and intellectual property assets. His unique entrepreneurial background allows him to anticipate clients’ business needs and deliver innovative solutions.

Intellectual Property Licensing

From letter of intent through implementation, clients look to Owyn to protect their intellectual property rights in licensing transactions. With a focus on technology, software and content licenses for both licensors and licensees, Owyn structures, drafts, negotiates and reviews technology and intellectual property agreements for businesses in a variety of sectors. Owyn has also helped negotiate and draft several significant, favorable settlement agreements related to intellectual property infringement.

M&A

Owyn frequently handles critical intellectual property and technology due diligence for mergers, acquisitions and other strategic transactions, and regularly manages related matters that arise from these transactions including the merging of portfolios post-closing, and negotiating, drafting and reviewing ancillary agreements.

Service and Privacy Terms

Owyn has experience reviewing and drafting terms of service, terms of use, end-user licensing agreements, open-source software licensing agreements, privacy policies and policies related to the use of artificial intelligence. Technology and software companies, as well as organizations employing their services, seek out Owyn for these contracts to help mitigate business risk and protect intellectual property assets.

Prior Experience

Outside of the firm, Owyn managed a student program at the University of Notre Dame’s entrepreneurship center and commercialization engine. He also interned at the law school’s IP clinic, and did a consultancy for a FinTech company, advising them on fundraising and AI integration. Before law school he started a company that launched a successful Kickstarter campaign.

Personal Interests

Owyn enjoys attending concerts around the Twin Cities and competing in endurance races and rec-league sports.
