Public Companies & Governance
Chad supports several public company clients in understanding and complying with legal and regulatory requirements, including Securities and Exchange Commission (SEC) reporting requirements, proxy disclosures, director independence and board composition matters, fiduciary duties, resale of restricted securities, and more. He also counsels clients on stock exchange rules, and the voting policies and practices of proxy advisory firms and large institutional shareholders.
Capital Markets
Chad represents issuers, investors and underwriters in public and private debt and equity offerings, including initial public offerings, registered direct offerings, various underwritten offering structures, debt issuances, private investment in public equity (PIPE) transactions, and at-the-market (ATM) offering programs. These transactions have ranged in size from less than $5 million to more than $1 billion.

- Several issuers with respect to SEC reporting compliance obligations, including drafting and reviewing periodic reports and proxy statements, and advising on corporate governance and other strategic matters across a variety of industries
- A publicly traded beverage company in a “merger of equals” transaction with a combined market capitalization of over $10 billion
- An initial public offering of a manufacturing company following a reorganization and spin-off from a parent organization
- An investment bank in a $200 million “at the market” offering for a technology company
- An underwriter in a $120 million follow-on public offering of common stock for a food company
- A clinical-stage biotechnology company in a number of registered underwritten offerings of common stock and warrants, including an at-the-market facility
- A truck leasing and rental company in the issuance in excess of $4 billion of senior debt in a series of Rule 144A offerings
Community Involvement
Chad serves on the board of directors and as a co-chair of the governance committee of the Public Interest Law Center, a nonprofit organization that uses high-impact legal strategies to advance the civil, social and economic rights of communities in the Philadelphia region.
Prior Experience
Chad spent a semester interning as a parliamentary researcher for a member of the UK Parliament. During law school, Chad served as both an intern and an extern for the Honorable Renee Marie Bumb of the U.S. District Court of New Jersey. He was also a teaching assistant for the Mock Trial team. He served as a summer associate with the firm in 2014.
Personal Interests
In his free time, Charles enjoys running, playing soccer, and spending time with his family down the shore.
