Corporate Governance, Association and Exempt Organization Law
Adrienne counsels on legal issues important to nonprofit tax-exempt organizations — primarily § 501(c)(3) and § 501(c)(6) organizations.
She advises on:
- Affiliate relationships, including for-profit subsidiaries
- Corporate governance, including advising boards of directors
- Grant agreements
- Membership issues
- Production of educational programs
- Scholarship programs
- Sponsorship and other fundraising activities
- Volunteer matters
Commercial Real Estate
Adrienne represents clients in commercial real estate transactions throughout the country, including negotiation and drafting of contracts, leases, occupancy agreements, purchase and sale agreements, and other conveyance documents. She has particular proficiency with federal regulations impacting real estate purchased with the use of federal funding. She documents such transactions and works with title companies, real estate brokers, lenders and other real estate professionals.
Commercial Law
Adrienne negotiates complex contractual arrangements. She serves in an outside general counsel role to clients, counseling them on business transactions, including the negotiation and drafting of commercial contracts and the termination of contractual relationships such as:
- Hotel, convention center, facility, sponsorship, exhibitor, speaker, and other conference and event-related contracts
- Management agreements
- Affiliate agreements
