Overview

Joe Miller leads the firm’s nonprofit organizations practice, which serves nonprofits throughout the United States and abroad. Joe helps each of our nonprofit clients thrive in fulfilling its mission by providing comprehensive counsel for a full range of legal needs, including advice on corporate governance, tax-exempt issues and international collaborations.

Joe counsels a wide variety of nonprofit organizations, including:

  • Private foundations
  • Colleges and universities
  • Churches and other religious organizations
  • Professional and trade associations
  • Museums
  • Economic development organizations
  • Research institutes
  • Amateur athletic organizations

Corporate Governance and Tax-Exempt Issues

Joe also advises on board governance matters, charitable giving issues, the use of subsidiaries and affiliated organizations, and the development of organizational and operational strategies for collaborations among nonprofit organizations, for-profit businesses, educational institutions and government agencies.

Joe counsels on corporate matters as well as technical issues specific to tax-exempt organizations, such as applications for exemption, negotiations with the Internal Revenue Service, private ruling requests and similar matters.

International Grantmaking

Joe advises private foundations and public charities on international grantmaking, including the creation of numerous nonprofit organizations engaged in international charitable activities and/or grantmaking. He has worked on transactions involving international operations by U.S. nonprofit organizations, including the creation of entities domiciled in foreign countries.

Education Administration

Before joining Faegre Drinker in 1995, Joe served in the administration at Taylor University in financial aid and student development.
