Overview

Kareem Tawfic represents business entities and market participants, primarily in matters of corporate governance, securities compliance and capital-raising transactions. He also has experience in a variety of other transactional matters, including mergers, acquisitions and divestitures.

Public Companies

Kareem regularly advises public companies in understanding and complying with legal and regulatory requirements, including stock exchange requirements and ongoing reporting requirements with the U.S. Securities and Exchange Commission (SEC). Kareem also counsels clients and their boards on oversight responsibilities, board and committee structures, fiduciary duties, and stakeholder engagement.

Capital Markets

Kareem assists issuers and underwriters in SEC-registered and exempted capital markets transactions, including initial public offerings (IPOs), secondary offerings, debt offerings and private placements.

Mergers, Acquisitions & Divestitures

Kareem represents buyers and sellers, including publicly traded entities, in M&A and related strategic transactions across a variety of industries. He leads legal due diligence and works collaboratively with clients to prepare definitive deal documents and agreements.

Teaching & Pro Bono

Kareem also serves as an adjunct professor at the University of Minnesota Law School teaching a section of its experiential learning course, “Law in Practice,” where students participate in simulated negotiations and exercises that focus on client service. Kareem also enjoys keeping an active pro bono practice, achieving strong results for under-represented tenants seeking relief from their landlords.
