Overview

Mark Weakley offers decades of experience providing counsel to fund sponsors and managers in and outside of the United States. He assists on pre-formation structuring and organizational planning, and drafting of documents such as offering materials, limited partnership or limited liability company agreements, subscription documents and general partner and investment manager documents. Mark works with funds in all major asset categories, including private equity, venture, real estate and hedge funds.

Mark offers bespoke counseling on fund operational matters that may involve investment advisor regulatory compliance, negotiations with key investors, investment manager compensation, fund governance and side letter negotiations.

Mark represents institutional investors such as university foundations, corporate venture entities and pension plans in their private fund investments. His investor-side work gives Mark a broad understanding of private fund market terms and trends.

Mark has also worked as transactional counsel to venture capital funds that invest in growth technology companies as well as corporate counsel to such companies from their early stages to “exits.” Mark has played a critical role in the execution of high-value mergers and acquisitions.
