Faegre Drinker Advises Elevance Health in Launch of Strategic Partnership to Advance Primary Care Delivery

A Faegre Drinker team led by insurance partner Jared Danilson represented Elevance Health in its agreement with Clayton, Dubilier & Rice (CD&R) to form a strategic partnership to accelerate innovation in primary care delivery, enhance the healthcare experience, and improve health outcomes. The effort, which will operate across multiple regions of the United States, will bring together certain care delivery and enablement assets of Elevance Health’s Carelon Health and CD&R portfolio companies, apree health and Millennium Physician Group.

Elevance Health’s investment in the partnership will primarily be through a combination of cash and equity interest in certain care delivery and enablement assets of Carelon Health, and is subject to customary regulatory approvals.

A cross-office, cross-practice team of attorneys supported Danilson on this deal, including health care partners Steve Lokensgard, Amy Johnson and Jamie Levin; business litigation associate Alison Agnew; insurance partner Caryn Glawe and associates JT Minor and Sergio Gonzalez; and corporate associates Cara Ralston and Virginia Speck.
