Public Companies

Jason advises on Securities Exchange Act of 1934 and Securities Act of 1933 matters, including:

• Stock exchange listing standards
• Periodic reporting
• Trading and disclosure practices
• Proxy regulation and accounting and internal control requirements

He also counsels on audit committee, corporate governance and compensation plan matters.

Capital Markets and Securities

Jason works with issuers, underwriters and placement agents in public and private securities offerings, including underwritten public offerings of debt and equity securities, confidentially marketed public offerings, at-the-market equity offering programs, tender offers and private placements.

Project Finance

Jason counsels nationally recognized alternative energy and renewable chemical companies as well as investment banks, senior lenders, junior lenders and equity sponsors in financing biofuels, waste-to-energy, biogas and renewable chemicals projects. He advises on using tax-exempt or taxable bonds and applying for and using federally sponsored loan guarantee programs.

Financial Services Experience

Before becoming a lawyer, Jason worked as an internal auditor within the capital markets product areas of Bank One Corporation and as a senior financial services consultant with BearingPoint, Inc.
