Overview

Matt Kuhn is a deal lawyer who advises private and public companies on strategic transactions. Matt also counsels clients on corporate governance and securities regulation matters. He brings insight from experience in both private practice and in-house roles to provide clients with practical advice and pragmatic solutions.

Mergers and Acquisitions

Matt represents buyers, sellers and financial advisors in domestic and international M&A transactions with sizes ranging from a few million dollars to more than a billion dollars. He seeks to understand clients' objectives and creatively resolve issues to achieve those objectives. Matt's M&A experience includes transactions in the health care, manufacturing, software, consumer products and chemical industries.

Matt also has significant experience representing companies forming joint ventures and assisting financial advisors with the preparation of fairness opinions.

Private Placements

Matt regularly represents emerging companies, venture capital funds and family offices in private placements of debt and equity securities. He also advises companies with strategic minority investments.

Corporate Counseling

In addition to deal work, Matt routinely advises companies on day-to-day matters, such as corporate governance and commercial transactions.

In-House and Corporate Experience

From 2015-17, Matt was vice president and assistant general counsel at Bluestem Brands, a parent company of several e-commerce retail brands. In this role, Matt had direct oversight of Bluestem’s legal team and advised management and the board of directors on securities, corporate governance, debt financing, commercial transactions and strategic matters.

Prior to joining Faegre Drinker, Matt worked as a contract analyst at Guy Carpenter & Company, one of the world's largest reinsurance intermediaries, where he drafted and reviewed reinsurance treaties for numerous lines of business.

Personal Interests

When he’s not in the office, Matt can be found outside running, golfing, playing tennis or skiing (often with at least one of his three daughters).
