Overview
As head of Faegre Drinker’s global capital markets team, Jonathan loves finding practical, business-focused solutions for unique issues that arise in complex transactions. He advises on securities offerings, mergers and acquisitions, and corporate governance for both private and publicly held clients, as well as investment banks.
Capital Markets
Jonathan regularly represents issuers and investment banks in connection with billions in securities offerings, including IPOs, secondary offerings, registered direct offerings, PIPEs, Rule 144A offerings and foreign offerings. He advises public companies, including SPS Commerce, Tactile Medical, PARTS iD, Miromatrix Medical, iMedia Brands, Brickell Biotech, FGI Industries and FCCC on SEC reporting, corporate governance, resales of restricted securities and equity compensation challenges. Jonathan also represents public companies in connection with other capital market transactions, including going private transactions, issuer tender offers for debt and equity, accelerated stock repurchases, and other security purchase programs.
Mergers and Acquisitions
Jonathan also loves advising buyers and sellers in a variety of M&A transactions. He represented numerous public companies in multi-billion dollar exits and regularly represents companies on buy-side deals, including serial public acquirors. He also represents investment banks in their role as financial advisor in M&A transactions, including with deal structuring, fairness opinions and proxy disclosure.
Venture Capital & Emerging Companies
Jonathan represents emerging companies, venture capital funds, hedge funds and private equity funds in private placements of debt and equity securities. He also represents corporate venture funds in strategic investments. Jonathan loves helping growth companies with their corporate governance, regularly serving as outside general counsel through all stages of development.
Personal Interests
In addition to traveling the world to places off the beaten path, Jonathan regularly competes in triathlons and once ran his own record label.
